1. What these documents are

The materials behind this page are confidential business, financial and strategic information prepared by the Company for a limited group of prospective and existing investors and advisers. They are provided for the sole purpose of allowing you to evaluate a potential investment in the Company. They are not an offer to sell or a solicitation of an offer to buy any security, and they are not investment advice.

2. Your confidentiality undertaking

By unlocking these documents you agree that you will:

• Keep the materials, and the fact of your access to them, confidential.
• Not forward, copy, screenshot, publish, post or otherwise disclose the materials or the access password to any person outside your organization, and within your organization only to those who need it for the stated purpose and who are bound by equivalent obligations.
• Not use the materials for any purpose other than evaluating a potential investment, and in particular not for competitive, commercial or journalistic purposes.
• On request from the Company, stop using the materials and delete or destroy any copies in your possession.

Information that is already public through no act of yours, that you already lawfully held, or that you are required to disclose by law or by a regulator, is outside this undertaking. Where disclosure is legally required, you agree to notify the Company in advance where it is lawful to do so.

3. Forward-looking statements

These materials contain projections, targets, estimates and assumptions about future events, including bills of materials, prices, volumes, timelines and capital requirements. Many of the figures are expressly marked as quoted, estimated, placeholder, not final or pending confirmation. Actual results will differ. Nothing in these materials is a promise, a guarantee or a representation as to future performance, and you should not rely on any figure without your own verification and independent advice.

4. Personal data we collect and why

When you unlock a document we record:

• The name and email address you enter.
• Which document you opened and the date and time you opened it.
• Basic technical information sent by your browser, such as device and browser type.

Purpose. To know who has received confidential materials, to manage and evidence that confidentiality obligation, to follow up with you about the round, and to maintain a record of disclosure for our own governance and for investor diligence.

Legal basis. Your consent, given by ticking the consent box and unlocking the document, together with our legitimate interest in protecting confidential information. Processing is carried out in accordance with Decree 13/2023/ND-CP on the protection of personal data.

Who sees it. The Company's founders and authorized personnel, and our operational software providers acting on our instructions. We do not sell your personal data and we do not use it for advertising.

Retention. We keep the access record for as long as the fundraising process and any resulting relationship remain active, and afterwards for as long as we are required to keep corporate records or to defend a legal claim.

Your rights. You may ask us to confirm what we hold about you, to correct it, to delete it, or to withdraw your consent. Withdrawing consent does not affect processing already carried out, and it does not release you from the confidentiality undertaking in section 2. Write to han@nuenmoto.com.

5. Accuracy and no liability

The Company has prepared these materials in good faith and has marked clearly where a figure is not final. The Company gives no warranty that the materials are complete or free of error, and accepts no liability for any decision taken in reliance on them. You are responsible for your own due diligence.

6. Governing law

These terms are governed by the laws of Vietnam. Disputes are subject to the jurisdiction of the competent courts of Ho Chi Minh City.
